1. Acceptance of these Terms

These Terms of Service (the “Terms”) govern your access to and use of the website operated by TIT-Master B.V. (“TIT-Master”, “we”, or “us”) and the professional education, training, and consulting services described on it. By accessing or using our website or engaging our services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the website or our services.

You confirm that you are at least 16 years of age, or that you use the website under the supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. If you access the website or services on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

2. Niche-Specific Disclaimers

TIT-Master provides professional education, training, and consulting. We are not an accredited academic institution and our programs do not grant academic credit. Certificates of completion document participation and learning hours but are not formal qualifications. While programs are designed for applied outcomes, no specific result is guaranteed; progress depends on learner effort, organisational context, and adherence to post‑session reinforcement.

Our content is for professional development and general information. It does not constitute legal, medical, financial, tax, or compliance advice. Where sectoral standards or regulatory requirements apply, you remain responsible for ensuring that outputs (policies, SOPs, assessments) meet your specific obligations and internal controls.

3. Service Description

We design and deliver instructor‑led workshops, multi‑week cohort programs, and consulting engagements focused on practical skill transfer. Delivery is online‑first across Canada, with options for hybrid formats. Service details, deliverables, and timelines are defined in written scopes or order forms agreed with you. We may update the website and service descriptions at any time to reflect refinements, availability, or changes in industry practice.

All services and the website are provided “as is” and “as available.” We may suspend, limit, or discontinue any feature or content at our discretion, including for maintenance, capacity management, or security reasons.

4. Acceptable Use

You agree not to: (a) copy, distribute, or disclose any part of the website by any automated or non‑automated means; (b) use any scraping, crawling, data‑mining, or similar tools without prior written permission; (c) interfere with or compromise the system integrity or security of the website; (d) submit false, misleading, or incomplete information; (e) upload malware, attempt to gain unauthorised access, or perform penetration testing; (f) impersonate any person or entity; (g) send spam, unsolicited communications, or multi‑level marketing solicitations; (h) use the services in contravention of applicable export controls or sanctions; or (i) use the content in a way that infringes intellectual property or privacy rights.

5. Intellectual Property

All content on the website, including text, graphics, logos, icons, program outlines, templates, slide decks, facilitator guides, and other materials, and all related intellectual property rights, are owned by TIT-Master B.V. or its licensors. Subject to these Terms and any applicable order form, we grant you a limited, non‑exclusive, non‑transferable, revocable licence to access and use materials solely for your internal professional development. Except as permitted by mandatory law, you may not copy, modify, reproduce, republish, upload, post, transmit, sell, or distribute any content without prior written consent.

If you provide feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty‑free licence to use and incorporate them without obligation to you, provided we do not publicly attribute them to you without permission.

6. Third‑Party Services and Links

The website may reference third‑party tools (for example, video conferencing platforms or file‑sharing services) used to deliver training. Your use of those tools is governed by the providers’ own terms. We are not responsible for third‑party content, availability, or practices. Links to other websites are provided for convenience and do not imply endorsement.

7. Disclaimer of Warranties

To the maximum extent permitted by law, TIT-Master disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement, as well as any warranties arising out of course of dealing or usage of trade. We do not warrant that the website or services will be uninterrupted, timely, secure, error‑free, or that defects will be corrected. We do not warrant the accuracy, completeness, or reliability of any content or outcomes.

8. Limitation of Liability

To the fullest extent permitted by Dutch law, in no event will TIT-Master B.V., its affiliates, directors, or contractors be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost revenue, lost data, business interruption, or procurement of substitute services, arising out of or related to these Terms, the website, or the services, even if advised of the possibility of such damages.

Our total aggregate liability for all claims arising out of or related to the website and services shall not exceed the greater of: (a) the total amounts you paid to us for the services giving rise to the claim in the 12 months preceding the event, or (b) €100. The foregoing limitations apply to the maximum extent permitted by law and do not limit liability that cannot be excluded under applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless TIT-Master B.V. and its officers, directors, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the website or services; (b) your breach of these Terms; or (c) content or data you provide to us. We reserve the right to assume exclusive defence and control of any matter subject to indemnification, and you agree to cooperate with such defence.

10. Force Majeure

We are not liable for any delay or failure to perform due to events beyond our reasonable control, including acts of God, natural disasters, pandemics, labour disputes, acts of government, war, terrorism, civil disturbances, cyberattacks, power outages, or failures of third‑party hosting or network providers. Obligations will be suspended for the duration of the force majeure event and resume as soon as reasonably practicable.

11. International Use

TIT-Master operates from the Netherlands and provides services across Canada via online delivery. You are responsible for ensuring that access and use comply with the laws of your jurisdiction, including local professional or sectoral standards, export controls, and sanctions. We make no representation that the website or any content is appropriate or available in every location.

12. Governing Law and Jurisdiction

These Terms and any dispute or claim (contractual or non‑contractual) arising out of or in connection with them are governed by the laws of the Netherlands, without regard to conflict‑of‑laws rules. The courts of The Hague, the Netherlands, have exclusive jurisdiction to settle any such dispute.

If you are a consumer resident in the European Union, you may bring proceedings in the courts of your place of residence, and mandatory consumer protection laws of your country remain unaffected by this clause.

13. Dispute Resolution

Before initiating court proceedings, the parties will use reasonable efforts to resolve any dispute informally. The complaining party must send a written notice describing the dispute and the requested relief; the receiving party will respond within 30 days. If the dispute is not resolved within 60 days after the initial notice, either party may pursue available remedies in court. Nothing in this section prevents a party from seeking urgent injunctive or equitable relief.

14. Termination

We may suspend or terminate your access to the website immediately, without notice, if we reasonably believe you have violated these Terms or applicable law. Termination will not limit any of our rights or remedies. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution) will survive termination.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with any order form or scope of work you enter into with us and our Privacy Policy, constitute the entire agreement between you and TIT-Master regarding the website and services and supersede any prior or contemporaneous agreements, communications, and proposals (whether oral or written).

17. Assignment

You may not assign, transfer, or delegate any rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, or sale of assets.

18. No Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. Any waiver must be in writing and signed by an authorised representative of TIT-Master B.V.

19. Modifications to the Terms

We may modify these Terms from time to time to reflect changes in law, services, or operational practices. Material changes will take effect 14 days after posting an updated version on this page. If you continue to use the website or services after the effective date, you accept the revised Terms.

20. Electronic Communications and Signatures

By visiting the website or communicating with us electronically, you consent to receive communications from us electronically and agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing. Orders confirmed by email and electronic signatures are binding under the EU eIDAS Regulation where applicable.
